(SEBI)<\/a>,<\/b><span style=\"font-weight: 400;\"> and her husband had a <\/span><b>stake in offshore entities connected to the Adani group.<\/b><span style=\"font-weight: 400;\">\u00a0<\/span><\/p>\n<ul>\n<li aria-level=\"1\"><span style=\"font-weight: 400;\">In such a scenario, <\/span><b>SEBI board is supposed to address conflicts of Group Investigation<\/span><\/strong><\/h2>\n<\/div>\n<\/div>\n<\/div>\n<\/div>\n<p><span style=\"font-weight: 400;\">The market regulator SEBI said that it had<\/span><b> &#8220;duly investigated&#8221;<\/b><span style=\"font-weight: 400;\"> Hindenburg&#8217;s allegations against the Adani Group.<\/span><\/p>\n<ul>\n<li aria-level=\"1\"><span style=\"font-weight: 400;\">The SEBI also said that<\/span><b> its chairperson had made the required disclosures in &#8220;terms of holdings of securities and their transfers&#8221;, <\/b><span style=\"font-weight: 400;\">and that she had recused herself in matters involving <\/span><b>&#8220;potential conflicts of interest&#8221;.<\/b><\/li>\n<\/ul>\n<p style=\"text-align: center;\"><span class=\"vc_button\"><a \u2018Code on Conflict of Interest\u2019 seeks to ensure that the board \u2018conducts in a manner that does not compromise its ability to accomplish its mandate or undermine the public confidence\u2019 in the body.<\/span><\/p>\n<ul>\n<li aria-level=\"1\"><b>About Conflict of Interest: <\/b><span style=\"font-weight: 400;\">According to the Code, it refers to <\/span><b>\u201cany personal interest or association of a board member, which is likely to influence the decision of the Board <\/b><span style=\"font-weight: 400;\">in a matter, as viewed by an independent third party\u201d.\u00a0<\/span>\n<ul>\n<li><span style=\"font-weight: 400;\">It can constitute a number of different things, which are<\/span><b> either barred altogether or need to be disclosed by the concerned board member.<\/b><\/li>\n<\/ul>\n<\/li>\n<li aria-level=\"1\"><b>Comprises:<\/b>\n<ul>\n<li><b>Certain Transactions in Shares:<\/b><span style=\"font-weight: 400;\"> The Code says that a member must <\/span><b>disclose<\/b><span style=\"font-weight: 400;\"> their, and their family\u2019s (spouse, dependent children below 18 years of age) holdings <\/span><b>within 15 days <\/b><span style=\"font-weight: 400;\">of the assumption of Office, and annually update this disclosure within 15 days of the close of the financial year.\u00a0<\/span>\n<ul>\n<li><span style=\"font-weight: 400;\">Moreover, <\/span><b>substantial transactions <\/b><span style=\"font-weight: 400;\">(greater than 5,000 shares or of monetary value of 1 lakh) need to be disclosed <\/span><b>within 15 days<\/b><span style=\"font-weight: 400;\"> of such a transaction.\u00a0<\/span><\/li>\n<li><span style=\"font-weight: 400;\">Also, members are <\/span><b>not allowed to deal <\/b><span style=\"font-weight: 400;\">in shares based on<\/span><b> \u201cunpublished price sensitive information which he may have got access to\u201d.<\/b><\/li>\n<\/ul>\n<\/li>\n<li><b>Outside Private Activities:<\/b><span style=\"font-weight: 400;\"> SEBI board members are <\/span><b>not allowed to hold any other office of profit,<\/b><span style=\"font-weight: 400;\"> i.e. a position that brings or has the potential to bring to the person holding it some financial gain, advantage, or benefit.\u00a0<\/span>\n<ul>\n<li><span style=\"font-weight: 400;\">They are also <\/span><b>not allowed to engage in any other professional activity<\/b><span style=\"font-weight: 400;\">, \u201cwhich <\/span><b>entails receipt of salary or professional fees\u201d.<\/b><\/li>\n<\/ul>\n<\/li>\n<li><b>Acceptance of Gifts:<\/b><span style=\"font-weight: 400;\"> Board members are not allowed to accept<\/span><b> \u201cany gift by whatever name called, to the extent possible, from a regulated entity\u201d<\/b><span style=\"font-weight: 400;\">.\u00a0<\/span>\n<ul>\n<li><span style=\"font-weight: 400;\">If they do receive such a gift whose <\/span><b>value exceeds Rs 1,000, they have to hand it over to the General Services Department of the SEBI,<\/b><span style=\"font-weight: 400;\"> and are <\/span><b>not allowed to keep<\/b><span style=\"font-weight: 400;\"> it.<\/span><\/li>\n<\/ul>\n<\/li>\n<li><b>Miscellaneous Situations: <\/b><span style=\"font-weight: 400;\">Members are bound to <\/span><b>disclose \u201cany post, other employment or fiduciary position\u201d <\/b><span style=\"font-weight: 400;\">which they hold or have <\/span><b>held in the past five years, <\/b><span style=\"font-weight: 400;\">in connection with any regulated entity.\u00a0<\/span>\n<ul>\n<li><span style=\"font-weight: 400;\">It includes being a board member of a company, or being employed as a consultant by a company.\u00a0<\/span><\/li>\n<li><span style=\"font-weight: 400;\">They must disclose <\/span><b>\u201cany other significant relationship, including a professional, personal, financial or family relationship held in connection with a regulated entity\u201d and \u201cany honorary position,<\/b><span style=\"font-weight: 400;\"> by whatever name called, in any organisation\u201d.<\/span><\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<\/li>\n<li><b>Procedure to Manage Conflict of Interest: <\/b><span style=\"font-weight: 400;\">SEBI board members are to \u201ctake all steps necessary to ensure that any conflict of interest does not affect any decision of the Board\u201d and not to \u201cexploit to his personal advantage, any personal or professional relationship with regulated entities or any employee of such entities\u201d.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><b>Disclosures and Recusals: <\/b><span style=\"font-weight: 400;\">Disclosures have to be made \u201cat the earliest possible opportunity\u201d. If any member is unsure whether there is a conflict of interest or not, they \u201cshall seek determination from the Chairman\u201d.\u00a0<\/span>\n<ul>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><b>If the chairman is in doubt <\/b><span style=\"font-weight: 400;\">regarding their own conflict of interest, she has to <\/span><b>\u201cseek determination from the [entire] Board\u201d.<\/b><\/li>\n<\/ul>\n<\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><b>No Exception:<\/b><span style=\"font-weight: 400;\"> If the chairman or the board determines that there is indeed a conflict of interest, the<\/span><b> concerned member \u201cshall refrain from dealing with the particular matter\u201d.<\/b><span style=\"font-weight: 400;\"> No Member shall hear or decide any matter where he\/she has a conflict of interest and there is no scope for an exception.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><b>Confidentiality: <\/b><span style=\"font-weight: 400;\">As per the Code, the information as disclosed under this Code shall be kept confidential save in the following circumstances. These circumstances include:<\/span>\n<ul>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">Where there is a requirement for disclosure for the purposes of <\/span><b>managing potential or actual conflicts;<\/b><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">Where there is a requirement for disclosure following the <\/span><b>change of responsibilities of a Member;<\/b><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">Where there is a requirement for the purposes of<\/span><b> disciplinary proceedings; or<\/b><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">Where there is any <\/span><b>legal or regulatory obligation<\/b><span style=\"font-weight: 400;\"> to disclose the information.<\/span><\/li>\n<\/ul>\n<\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><b>Maintained by: <\/b><span style=\"font-weight: 400;\">The custody of all documents\/records pertaining to board members\u2019 disclosures is maintained by the <\/span><b>secretary to the board.<\/b><span style=\"font-weight: 400;\">\u00a0<\/span>\n<ul>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><b>Members of the public<\/b><span style=\"font-weight: 400;\"> can bring material evidence to this secretary in case they believe that \u201ca Member has an interest in a particular matter\u201d.
